  • Third-party Service means any services, applications, or content (including data, information, products, or services) provided by a third party that may be integrated with, used with, or accessible through the Service.

  • Website refers to the Company’s primary marketing and product websites for Caliber Platform, including any subdomains (for example, https://caliberplatform.com and related sites).

  • You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

These Terms and Conditions govern the use of the Service and form the agreement between You and the Company. They set out the rights and obligations of all users regarding the use of the Service.

  • You agree to notify Us immediately of any unauthorized use of Your account or any other breach of security.

The Company reserves the right to suspend or terminate Your account if it reasonably believes You have violated these Terms or engaged in fraudulent, abusive, or unlawful activity.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with Your use of or reliance on any such content, goods, or services available on or through any such websites or services.

Intellectual Property

The Service and its original content, features, and functionality (excluding content provided by You or other users) are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of applicable jurisdictions.

You may not use the Company’s trade names, trademarks, logos, domain names, or other brand features without Our prior written consent, except as permitted by law.

Termination

We may terminate or suspend Your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms.

Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your account, You may stop using the Service and contact Us using the details provided at the end of these Terms.

Provisions which by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive any termination.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • In no event shall the Company or its affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with Your access or use of, or inability to access or use, the Service, even if advised of the possibility of such damages.

  • The aggregate liability of the Company and its affiliates, licensors, and service providers for all claims arising out of or related to the Service shall be limited to the greater of (a) the amount You have paid to the Company for the Service in the twelve (12) months prior to the event giving rise to the claim, or (b) one hundred (100) U.S. dollars.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, the above limitations shall apply only to the extent permitted by law.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects, without warranty of any kind.

To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its affiliates, licensors, and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.

Without limiting the foregoing, the Company makes no representation or warranty that:

  • The Service will meet Your requirements or expectations.
  • The Service will be uninterrupted, timely, secure, or error-free.
  • Any errors or defects in the Service will be corrected.

You use the Service at Your own risk.

Governing Law

These Terms and Your use of the Service shall be governed by and construed in accordance with the laws of the State of Idaho and the United States, without regard to its conflict of law provisions.

Your use of the Service may also be subject to other local, state, national, or international laws.

Dispute Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at the email address provided below.

Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Except as expressly stated otherwise, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date above.

Changes to these Terms are effective when they are posted on this page. Your continued use of the Service after any changes become effective constitutes Your acceptance of the new Terms. If You do not agree to the updated Terms, You must stop using the Service.
